India's largest private sector lender will search for a new chief executive after Sashidhar Jagdishan informed the board he would not seek re-appointment beyond his current tenure ending October 26, 2026.

The board took note of Jagdishan's decision at a meeting held on August 29, stating that despite attempts to persuade him, the CEO reiterated his choice to retire from the bank upon the close of business hours on the specified date. HDFC Bank announced it would fast-track the appointment of a successor.

Deputy MD Emerges as Frontrunner

Deputy Managing Director Kaizad Bharucha is likely to be named as one of two options for the next CEO position, according to two people familiar with the matter. Bharucha, a long-serving executive overseeing the retail and wholesale businesses, represents one of the leading internal candidates.

Under Reserve Bank of India regulations, Bharucha remains eligible to assume the CEO role, as he is not due to retire until 2029, when he will have completed 15 years as a full-time director. The maximum tenure of a whole-time director is 15 years, though exemptions can be sought.

The bank is also searching for an external candidate in compliance with a central bank rule requiring banks to submit multiple names for the CEO position. The Reserve Bank of India approves top banking appointments.

Six Months of Upheaval

The CEO search follows approximately six months of turbulence at HDFC Bank, where leadership issues have weighed on the institution's shares. In March, Atanu Chakraborty resigned as chairman, citing practices at the bank that were at odds with his "personal values and ethics". An external legal review subsequently found no evidence to substantiate Chakraborty's governance concerns.

Jagdishan, who had been widely expected to continue as CEO before Chakraborty's departure, faced additional scrutiny when the board penalized him and three other executives in a separate matter related to the pricing of large deposits. The bank did not elaborate on the details of this penalty.

Market Impact

HDFC Bank shares, which were approximately 40 percent foreign-owned as of June-end, have fallen 27 percent this year, with the decline accelerating after Chakraborty's exit. Investors have also expressed concern over the lack of gains from a 2023 merger with then-parent HDFC Ltd, which was overseen by Jagdishan.

Jagdishan has served as the bank's managing director and chief executive officer since October 2020.
